Terms of Services

1. Acceptance of Terms

By accessing or using https://qactiaz.com (the “Service”), you (“User” or “you”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.   

2. Description of the Service

QACTI provides an AI-powered tool (the “AI Agent”) that assists users in generating blog content and other text-based materials. The AI Agent utilizes artificial intelligence algorithms to create content based on user inputs and prompts.

3. User Accounts

To access certain features of the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are solely responsible for any loss or damage arising from your failure to comply with this section.   

4. Use of the AI Agent

  • User Input: You are solely responsible for the input, prompts, and information you provide to the AI Agent. You agree that your input will not violate any third-party rights, including copyright, trademark, privacy, or publicity rights, and will not be unlawful, harassing, defamatory, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable.
  • Generated Content: The content generated by the AI Agent is based on your input and the AI’s algorithms. While we strive to provide useful and relevant content, we do not guarantee the accuracy, completeness, originality, or suitability of the generated content for any specific purpose. You acknowledge that the generated content may contain errors, biases, or inaccuracies.
  • User Responsibility: You are solely responsible for reviewing, editing, and verifying the accuracy and appropriateness of any content generated by the AI Agent before publishing, sharing, or otherwise using it. You assume all risks associated with the use of the generated content.
  • Non-Exclusive License: Upon your valid subscription or payment, we grant you a non-exclusive, non-transferable, revocable license to use the generated content for your personal or commercial purposes, subject to these Terms.

5. Intellectual Property Rights

  • Our Ownership: The Service, including the AI Agent, its underlying algorithms, software, design, and all intellectual property rights therein (excluding User Input), are owned by QACTI LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.   
     
  • User Content: You retain ownership of your User Input. By providing input to the AI Agent, you grant QACTI LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display your input solely for the purpose of providing and improving the Service.   
     
  • Generated Content: The copyright and other intellectual property rights in the content generated by the AI Agent based on your specific input will depend on various factors and legal interpretations. You acknowledge that QACTI LLC makes no claims of ownership over the specific output generated for you. However, you are responsible for ensuring your use of the generated content does not infringe upon any third-party rights.

6. Prohibited Uses

You agree not to use the Service for any unlawful or prohibited purpose, including but not limited to:

  • Generating content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.   
  • Generating content that infringes upon the intellectual property rights of others.
  • Distributing spam or unsolicited communications.
  • Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service.  
  • Using the Service to develop competing AI models or services.
  • Misrepresenting the origin of the generated content.

7. Fees and Payments (If Applicable)

  • Subscription Terms: If you choose a subscription plan, you agree to pay the applicable fees as described on our pricing page. Subscription fees are typically billed in advance on a recurring basis (monthly or annually) until canceled.
  • Payment Method: You agree to provide a valid payment method and authorize us to charge the applicable fees to your chosen payment method.
  • Cancellations: You can cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period. We do not provide refunds for partial subscription periods.   
  • Price Changes: We reserve the right to change our subscription fees at any time. We will provide you with reasonable prior notice of any price changes.

8. Disclaimer of Warranties

THE SERVICE AND THE CONTENT GENERATED BY THE AI AGENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF THE GENERATED CONTENT. YOUR USE OF THE SERVICE AND ANY GENERATED CONTENT IS AT YOUR SOLE RISK.   

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QACTI LLC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE OR THE GENERATED CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.   

10. Indemnification

You agree to defend, indemnify, and hold harmless QACTI, its affiliates, directors, officers, employees, agents, suppliers, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys’ fees) arising out of or relating to: (i) your use of the Service; (ii) your User Input; (iii) your use of the generated content; (iv) your violation of these Terms; or (v) your violation of any rights of a third party.   

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.   

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Arizona, USA, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the state or federal courts located in Arizona, USA. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.  

13. Opt-In 
 
a. Verbal – You might receive a call with the following message: “As part of our service we can send you automated monthly text alerts regarding account payment activity. We will send two messages per month. Message and data rates may apply, depending on your mobile phone service plan. At any time you can get more help by replying HELP to these texts, or you can opt-out completely by replying STOP. Mobile Terms of Service are available at https://qactiaz.com/member-tos-page and our Privacy Statement can be found at https://qactiaz.com/privacy-policy-2. Please reply with ‘yes’ or ‘no’ to indicate if you would like this service”.

14. Changes to These Terms
 
We reserve the right to modify or revise these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website or through other reasonable means. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for any changes.   
 
15. Entire Agreement

These Terms constitute the entire agreement between you and QACTI LLC regarding your use of the Service and supersede all prior and contemporaneous agreements and understandings, whether written or oral.
